MATRUCART TERMS OF SERVICE

These Terms of Service ("Terms") form a legally binding agreement between you ("Merchant", "you", or "your") and Matrucart, Inc. ("Matrucart", "we", "us", or "our"). By accessing or using the Matrucart platform ("Service"), you agree to these Terms.
1. Overview of Services
Matrucart is an SMS marketing and automation platform designed for e-commerce businesses. It integrates with platforms such as Shopify and Stripe to retrieve customer checkout information, detect abandonment events, and trigger automated SMS messages through Twilio. Messages are dispatched based on shopper marketing consent and funded by a credit-based pricing model.
2. Account Eligibility
You must be at least 18 years old, and have the legal authority to bind the organization you represent. You represent that all information you provide is accurate and up-to-date.
3. Access to the Service
You are granted a non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. We reserve the right to modify, suspend, or discontinue features at any time with or without notice.
4. Acceptable Use Policy
You agree to not use the Service for:
- Sending unauthorized or unsolicited messages (spam)
- Misrepresenting your identity or your business
- Accessing data without the required customer consent
- Circumventing platform API rate limits or Twilio's fair use policies
- Reverse engineering or modifying any part of the Service
5. Messaging and Consent Compliance
You are solely responsible for ensuring all messages sent via Matrucart comply with applicable laws, including but not limited to:
- Telephone Consumer Protection Act (TCPA)
- A2P 10DLC carrier registration requirements
- CAN-SPAM Act
- California Consumer Privacy Act (CCPA)
- General Data Protection Regulation (GDPR) where applicable
You must retain verifiable proof of SMS marketing consent for any customer you contact via the Service. Platforms like Shopify will typically provide this for you.
6. Fees, Billing, and Credits
Matrucart operates on a pre-paid credit system. SMS messages typically consume 1 or more credits depending on destination and carrier fees. Credits are non-transferable and expire according to your plan.
Your use of the Service may also involve third-party platform charges (e.g., Shopify billing), which are governed by their respective terms.
After a plan cancellation, credits must be used within 15 days. You can continue to send messages for 15 days. After this duration, the credits will expire, your balance will be re-adjusted to 0, and you must purchase a new plan to continue.
7. Termination
You may cancel your account at any time via your dashboard or by contacting support. We reserve the right to suspend or terminate your account for:
- Breach of these Terms
- Fraudulent or abusive activity
- Inactivity or platform misuse
8. Intellectual Property
All content, software, and branding associated with Matrucart are the property of Gomushi Technologes LLC. You may not copy, modify, or use Matrucart IP except as explicitly permitted.
9. Indemnification
You agree to indemnify, defend, and hold harmless Matrucart and its affiliates, directors, and employees from any claim or demand arising out of:
- Your violation of these Terms
- Your misuse of the Service
- Your breach of applicable laws or third-party rights
10. Limitation of Liability
To the maximum extent permitted by law, Matrucart shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from your use of the Service.
11. Dispute Resolution and Arbitration
You agree to resolve any disputes through final and binding arbitration, administered by [e.g., AAA], rather than in court. Class actions are not permitted. This clause survives termination of your account.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles.

This Privacy Policy explains how Matrucart, Inc. ("Matrucart", "we", "our") collects, uses, shares, and protects the personal information of users and end-customers ("you", "Merchant", or "Shopper") when using our services.
1. Information We Collect
From Merchants:
- Contact and billing information
- Store access tokens (Shopify, Stripe) through delegated Authentication Flow (oAuth etc).
- Workflow configurations, usage logs
From Shoppers (on behalf of Merchants):
- Phone numbers (if opted-in)
- Checkout abandonment behavior
- Consent metadata and SMS interaction history
We act as a "Data Processor" for shopper information, and the Merchant is the "Data Controller."
2. How We Use the Data
- Send SMS messages as configured by merchants
- Track message performance (delivery, open rate)
- Enforce platform compliance
- Improve product features and prevent fraud
3. Third-Party Services
We share data with:
- Twilio: for sending and receiving SMS messages
- Analytics and diagnostics providers: to monitor performance
We do not sell personal information.
4. Shopper Consent and Opt-Out
Merchants must collect proper opt-in consent before sending SMS messages. Matrucart provides opt-out handling via keyword replies (e.g., "STOP").
Shoppers may contact the merchant directly for data deletion or export requests.
5. Security
We use encryption (in transit and at rest), access controls, and audit logs to protect your data. In the event of a breach, we will notify affected parties as required by law.
6. Data Retention
We retain merchant and message data as long as your account remains active, or as needed to comply with legal obligations.
7. International Transfers
We may transfer your data internationally. By using our services, you consent to such transfers and agree that we may process your data in any country where we have facilities or service providers.
8. Your Rights
Depending on your location, you may have rights regarding your personal data, including:
- Access to your data
- Correction of inaccurate data
- Deletion of your data
- Objection to processing
- Data portability
